Terms of Service

1) Who we are and what these Terms cover

These Terms of Service (“Terms”) govern access to and use of the GBFSI website, portals, forms, downloadable materials, and any consultations, assessments, or other services offered through them (collectively, the “Services”). By accessing or using the Services, you agree to these Terms and our Privacy Policy.

If you are using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity and “you” will refer to that entity.

2) What GBFSI does—and does not do

GBFSI is a financial services arranger and advisory platform. We help businesses evaluate funding options and, where appropriate, introduce them to banks, credit funds, institutional investors, specialty finance providers, and other third-party lenders or investors (each, a “Funding Provider”).

GBFSI is not a bank, broker-dealer, investment adviser, or investment company, and the Services do not constitute legal, tax, or investment advice, or an offer or solicitation to buy or sell securities.

Any funding, interest rate, term sheet, comfort letter, or indication of interest is subject to Funding Provider approval, satisfactory underwriting, due diligence, documentation, and market conditions. Funding is not guaranteed.

3) Eligibility; your responsibilities

You affirm that you are at least 18, legally able to enter contracts, and using the Services for a bona fide business purpose. You agree to:

Provide current, accurate, and complete information (including financials, business details, and KYC information);

Promptly update information if it changes;

Use the Services in compliance with applicable laws (including anti-money-laundering, sanctions, anti-bribery, and data-privacy laws).

You are responsible for maintaining the security of your devices and any credentials used to access our portals.

4) Prohibited uses

You must not (a) misuse or attempt to probe, scan, or test our systems; (b) upload malicious code; (c) infringe intellectual-property or privacy rights; (d) use the Services to promote illegal activity; or (e) attempt to circumvent GBFSI’s role in any introduction we facilitate.

5) Third-party Funding Providers and relationships

Where we introduce you to a Funding Provider, any financing relationship is solely between you and that Funding Provider. You must review and rely on your own advisors regarding any offer, agreement, fee, rate, covenant, security interest, or closing condition. GBFSI is not responsible for a Funding Provider’s credit decision, timeline, pricing, diligence scope, or conduct.

6) Fees and compensation

GBFSI’s fees (if any) will be disclosed in a written mandate, engagement letter, fee agreement, or term sheet. You agree to pay all agreed fees on the schedule stated in the applicable agreement. In some cases GBFSI may receive compensation from Funding Providers; when applicable, the terms will be disclosed consistent with law.

7) Non-circumvention

For a period of twenty-four (24) months from an introduction, you agree not to bypass or circumvent GBFSI to deal directly with a Funding Provider we introduced to you for a substantially similar financing, unless permitted by your written engagement with us.

8) Intellectual property

All content on the Services (text, designs, trademarks, logos, images, software, and compilations) is owned by GBFSI or its licensors and protected by law. You may not copy, modify, reverse engineer, or create derivative works except as expressly allowed in these Terms.

9) No warranties; limitation of liability

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, GBFSI DISCLAIMS ALL WARRANTIES (EXPRESS OR IMPLIED), INCLUDING WARRANTIES OF ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GBFSI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOST PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) USD $1,000 OR (B) THE FEES YOU PAID GBFSI FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT.

10) Indemnity

You agree to defend, indemnify, and hold harmless GBFSI and its officers, employees, and agents from claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Services, your information, or your breach of these Terms.

11) E-sign and communications consent

You consent to receive notices, disclosures, and agreements electronically and to transact using electronic signatures to the extent permitted by law. You may opt out of marketing emails at any time, though we may still send transactional or legally required messages.

12) Changes, suspension, termination

We may modify these Terms or the Services at any time. Changes are effective when posted. We may suspend or terminate access (with or without notice) if we believe you violated these Terms or for security or maintenance reasons. Upon termination, Sections 6–14 survive.

13) Governing law; disputes

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-laws rules, unless an executed engagement letter states otherwise. You agree to the exclusive jurisdiction of state and federal courts located in New York County, New York. You and GBFSI waive trial by jury to the fullest extent permitted by law.

14) General

If any provision is unenforceable, the remainder remains in effect. No waiver is effective unless in writing. You may not assign these Terms without our written consent. These Terms (and any signed engagement letter) constitute the entire agreement regarding the Services.
